NOTIFICATION OF TRANSACTIONS OF
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")
EXECUTIVE PERFORMANCE SHARE PLAN
VESTING OF AWARDS
The Company announces that 2,956,336 contingent share awards in the Company's ordinary shares ("Shares") granted under the Company's Executive Performance Share Plan ("EPSP") to the Company's Executive Directors, being PDMRs, vested on 26 June 2019 as set out in the table below.
Pursuant to the vesting, the recipients instructed Link Trustees (Jersey) Limited (the "Trustee"), as the trustee of the River and Mercantile Group Employee Benefits Trust (the "EBT"), to sell a portion of the shares that vested in order to satisfy the tax and national insurance liability associated with this award that arises immediately on vesting, and to transfer the balance of shares into their name. Additional Shares were sold by the Trustee to satisfy the associated SDLT and transaction charges incurred by James Barham, Jack Berry and Mike Faulkner.
The table below sets out the shares that vested on 26 June 2019, the number of shares sold and the beneficial holdings in the Company of the PDMR following the vesting and sale:
