("Redhall", the "Company" or the "Group") 

Result of Placing and Open Offer and Debt Conversion 

Redhall Group plc (AIM: RHL), the manufacturing and specialist services group, announced on 28 September 2015 that shareholders had approved all resolutions in connection with the Placing and the Open Offer which has succeeded in raising approximately £5.5m in total before expenses. This comprised a Placing to raise approximately £4.8m and an Open Offer of approximately £0.7m, each at 5p per share resulting in the issue of 109,473,215 New Ordinary Shares in total together with 41,500,000 New Ordinary Shares pursuant to the Debt Conversion.

The New Ordinary Shares have been issued and allotted, conditional only on Admission to AIM. Application has been made for the New Ordinary Shares to be admitted to AIM. It is expected that the New Ordinary Shares will be admitted to AIM and that dealings will commence on Wednesday 30 September 2015. Following Admission and the Capital Reorganisation the Company's enlarged issued ordinary share capital will comprise 200,050,684 ordinary shares of 0.01p each.

Terms used in this announcement have the same meanings given to them in the announcement of the Proposals made at 7.00 a.m. on 11 September 2015.
