Issue of Equity

Verdes Management plc (AIM: VMP), the specialist turnaround services provider, announces that it has placed 20,000,000 new Ordinary Shares of 0.1p each at a price of 0.3p per share ("the Placing Shares") for cash conditional on admission to AIM. The Placing Shares have been issued to meet continuing market demand.

Application will be made for the Placing Shares to be admitted to AIM and dealings are expected to commence in the Placing Shares on Tuesday 3 April 2012 ("Admission").

In accordance with the Disclosure and Transparency Rules (DTR 5.6.1R) the Company hereby notifies the market that immediately following Admission its issued ordinary share capital will consist of 427,680,735 Ordinary Shares of 0.1p each, 66,214,920 Deferred 'B' Shares of 0.9p each and 32,938,000 Deferred Shares of 6.5p each. The Deferred Shares and Deferred 'B' Shares have no voting rights. All of the Ordinary Shares have equal voting rights and none of the Ordinary Shares are held in Treasury. The total number of voting rights in the Company is therefore 427,680,735. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
