RIT Capital Partners PLC31 August 2005 Interests of Senior Management A grant of Share Appreciation Rights ('SARs') over £1 ordinary shares of RITCapital Partners plc ('RITCP') was made on 30 August 2005 to the followingmember of RITCP's senior management, under the terms of the J. RothschildCapital Management Share Appreciation Rights Plan, as follows: Manager SAR exercise price Notional no. of RITCP ord. shares------------ ------------------ --------------------------------- David Haysey 800.5p 124,922 SAR grants entitle the holder to the payment of a bonus between the third andtenth anniversaries of the relevant date of grant, calculated by reference to anotional number of RITCP £1 ordinary shares. The bonus will amount to theincrease since the date of grant in the RITCP share price multiplied by thenotional number of shares. The SAR awarded shall be exercisable between 30 August 2008 and 29 August 2015,conditional upon the performance hurdle being achieved in the three years'vesting period ending on 30 August 2008. The hurdle is calculated by referenceto the RITCP share price plus dividends paid, which must exceed RPI plus 3% perannum.
