Board Changes

23 March 2023 - QinetiQ Group plc ('QinetiQ') today announces that Michael Harper, who has been a Non-executive Director since November 2011; and Deputy Chair and Senior Independent Director since January 2012, is to retire from the Board with effect from the conclusion of the 2023 Annual General Meeting ("AGM").

Following Michael's retirement, Steve Mogford, Non-executive Director, will become the Group's Senior Independent Director ("SID").

Commenting on today's announcement, Neil Johnson, Group Chair of QinetiQ, said:

"I would like to thank Michael for his consistently invaluable contribution to both the Board and the wider QinetiQ family. As Deputy Chair and SID, his wise counsel and the sharing of his wealth of experience, has been appreciated by all who have worked with him in pursuit of QinetiQ's global growth strategy. On a personal note, I would particularly like to thank Michael for his support, guidance and advice when I joined the Board, and subsequently as an outstanding SID and valued sounding board. He will be missed, and we all wish him well in a richly deserved retirement."

9.6.11R of the Listing Rules of the UK Listing Authority:

This notice is given in fulfilment of the obligation under paragraph 9.6.11R of the Listing Rules. There are no other matters requiring disclosure under paragraph 9.6.11R.

S430(2B) Companies Act 2006:

Michael Harper has not and will not receive any loss of office payments, nor will he be paid any further remuneration for his service as a Director of QinetiQ Group plc, other than fees due for his services up to the date he retires from the Board.
