Notification of Directors' Share Interests

Grant of Awards under the Quintain Estates and Development PLC 2013 Incentive Plan

('Quintain Incentive Plan')

On 22 May 2015, the Remuneration Committee granted the following Awards under Element B of the Quintain Incentive Plan to Executive Directors. The Awards were made following the Committee's determination of the level of satisfaction of Performance Targets for the year ended 31 March 2015 and are in the form of nil cost options with a nominal aggregate exercise price of £1.

The Key Terms of Awards made under Element B of the Plan are:-

· awards will vest on the third anniversary of the award date provided that the participant remains employed by the Company, and

· shares subject to these awards (apart from those sold to meet any tax liability) cannot be sold prior to the fifth anniversary of the award date.
