Audited Accounts Reporting Timeline Update

and Equity Fundraise Update

London, UK - Quantum Data Energy PLC (LSE: QDE) is pleased to announce, further to its RNS announcement dated 2 June 2026, that following the successful appointment of the Company's new auditors, it is making good progress with its new auditors to complete its annual audit and to enable the audited annual accounts to be published. Based on current planning and progress it is expected that the Company's audit will be completed and the audited annual accounts published around early August 2026, promptly following which the Company will be able to apply to the London Stock Exchange to request restoration of its shares to trading.

Equity Fundraise Update

Further to the Company's RNS announcement dated 29 April 2026, the Company had previously agreed an amendment to the original equity fundraise and subscription with the subscribers (the "Raise") to be completed via a conditional direct subscription into the Company in two-stages (the "Subscription"). The Stage 1 Subscription has been successfully completed. The Stage 2 Subscription was conditional on the Company's temporary share suspension being lifted by no later than 15 July 2026.

Although the Company has made good progress with the audit process as referred to above, the audit is not expected to be completed in time to meet the conditions of the Stage 2 Subscription. The Company has therefore, following discussions with the subscribers, cancelled the conditional Stage 2 Subscription and it will not complete.
