PZ CussonsΒ Plc announces that onΒ 14Β AugustΒ 2009Β the following awards of ordinary shares in the Company wereΒ madeΒ to Executive Directors and other Persons Discharging Managerial Responsibility ("PDMRs") under the terms of theΒ PZ CussonsΒ DeferredΒ AnnualΒ ShareΒ Bonus Scheme ("the Scheme"):-

Senior executives, including the Executive Directors and PDMRs listed above, are eligible to participate in the Scheme,Β pursuant to which they may earn an annual bonus linked to financial performance targets.Β Bonus awards are payableΒ 50% in cash and 50% in deferred shares. The awards set out aboveΒ relate toΒ deferred sharesΒ awardedΒ as a result ofΒ the attainment of performance targetsΒ forΒ the year ended 31 May 2009.Β
TheΒ deferred sharesΒ willΒ normallyΒ be transferred to the Executive Directors and PDMRs from theΒ Paterson Zochonis Employee TrustΒ in three years'Β time, provided that they remain an employee of aΒ PZ Cussons PlcΒ group company.
