LTIP Update - Options Grant and Exercise

PureCircle (LSE: PURE), the world's leading producer and marketer of high purity stevia products provides an update on grants and exercises under its Long-Term Incentive Plan ("LTIP"). In accordance with DTR3.1, the update covers new options granted to employees including an Executive Director and PDMRs; options exercised by Non-Executive Directors and the transfer of treasury shares to satisfy the options exercise.

1) Options granted to Employees including an Executive Director and PDMRs

(i) 1,117,777 new options have been granted on 4 March 2016 to employees including an Executive Director and PDMRs and may vest on 30 June 2018 at nil exercise price, subject to performance conditions.

2) Options exercised by certain Non-Executive Directors 

(i) 13,110 options previously granted in lieu of fees covering the 6 month period from 1 July 2015 to 31 December 2015 were exercised on 2 March 2016 at the price of GBP3.94 per share (calculated based on 20-day VWAP to 30 June 2015).

The interest held by the Directors and PDMRs, following the above movements are as below:-

1 Mr Maes retired as a Director of the Company and stepped down from the Board effective 1 March 2016

3) Movement in treasury shares

A total of 13,110 ordinary shares were transferred out of treasury on 3 March 2016 to satisfy the exercise of options detailed above.

Following the said transfer, the balance of treasury shares is 91,180. The total number of ordinary shares in issue remains unchanged at 172,206,294, however the number of voting rights in the Company has increased to 172,115,114.

This figure of 172,115,114 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
