Polar Capital Holdings plc ("Polar Capital" or the "Company")
Notification of Transactions by Persons Discharging Managerial Responsibilities (PDMRs)/Persons Closely Associated (PCAs)
The Company was notified that on 10 March 2023 that Mr. Samir Ayub, Finance Director, exercised a share option over 100,000 shares at an option price of 386.6p per share granted under the Company's Equity Inventive Plan (the "Plan"). This award had been made in 2013 and was nearing the end of its a ten-year life which expires on 1 July 2023.
On the same date Mr Samir Ayub exercised a further share option over 75,000 shares at an option price of 3.15p per share granted under the Plan in 2016.
The options were exercised in accordance with the rules of the Plan and, where permitted, by the use of the provisions relating to Equity Settled Share Appreciation Rights ('ESARS'). The use of the ESARS provisions allows the Company to issue to the option holder only the number of shares that would equate to the number of shares over which the option becomes exercisable less the number of shares that would have needed to be sold to fund the purchase of that number of shares on the exercise date.
The Employee Benefit Trust (EBT) transferred 54,218 ordinary shares of 2.5p each ("Ordinary Shares") to Mr. Ayub in full satisfaction of the two options exercised and all the shares were then sold at the market price of 490.85p per Ordinary Share.
