Completion of consolidation of Lenzoloto assets
PJSC Polyus (LSE, MOEX - PLZL) ("Polyus", the "Company") and its wholly-owned subsidiary JSC Polyus Krasnoyarsk ("Polyus Krasnoyarsk") provide the results of the previously announced offer to shareholders of PJSC Lenzoloto ("Lenzoloto").
In August 2020, the Company and Polyus Krasnoyarsk announced that, as part of consolidation of the Polyus group's assets, Polyus Krasnoyarsk intended to offer eligible holders of ordinary and preferred shares of Lenzoloto to either sell their shares in Lenzoloto to Polyus Krasnoyarsk for cash or to exchange them for ordinary shares of Polyus (the "Offer").
Polyus Krasnoyarsk signed and executed 285 agreements to buy Lenzoloto shares for cash in a total amount of approximately RUB 2.4 billion and 46 agreements to exchange Lenzoloto shares for ordinary shares of Polyus. Overall, Polyus Krasnoyarsk has acquired 127,347 Lenzoloto ordinary shares and 15,498 Lenzoloto preferred shares and transferred 6,851 ordinary shares of the Company in exchange of Lenzoloto shares.
Following the execution of the Offer, Polyus currently owns 94.79% of Lenzoloto outstanding ordinary shares and 4.46% of Lenzoloto outstanding preferred shares.
