PANTHEON INTERNATIONAL PARTICIPATIONS PLC(the "Company") Total Voting Rights 9 April 2014 In conformity with the provisions of the Financial Conduct Authority'sDisclosure and Transparency Rules, the Company notifies the market of thefollowing: Following the repurchase on 8 April 2014 of 250,000 ordinary shares of 67p each("Ordinary Shares") and 240,000 redeemable shares of 1p each ("RedeemableShares") for cancellation, the Company's issued share capital consists of33,582,013 Ordinary Shares with equal voting rights and 32,772,534 RedeemableShares without voting rights. The total number of voting rights in the Company is 33,582,013 and this figuremay be used by shareholders as the denominator for the calculations by whichthey should determine if they are required to notify their interest in, orchange to their interest in, the Company under the FCA's Disclosure andTransparency Rules.
