PLANT HEALTH CARE plc (THE "COMPANY")

1. Director/ PDMR Shareholding

Following the appointment of Michael Higgins as senior independent director on 9 May 2013, the Company has approved the grant to him of options over 117,647 ordinary shares of 1p ("Ordinary Shares") at an exercise price of 85p, being the mid-market closing price on 9 May 2013.

2. DIRECTOR'S HOLDINGS

Following the above-mentioned grant of options, the beneficial interest of the director concerned in the Ordinary Share capital of the Company is as shown below:
