Director's dealing

Plant Health Care (AIM / CISX: PHC.L) announces that it has entered into a binding agreement with Mr John Brady, a director of the Company. Under the agreement, Mr Brady shall exercise, in two equal tranches on 15 October 2013 and 13 November 2013 all of his options over unissued shares in the Company, which equate to 975,000 Plant Health Care shares ("Shares"). On each date Mr Brady shall sell such number of Shares as is sufficient to cover the exercise price and his associated tax liability arising from the exercise. Any sale of Shares shall be at the prevailing market price and subject to sufficient demand in the market. Further details, using the assumptions specified so as to provide working examples, are set out below:

Mr Brady shall exercise 487,500 options at an exercise price of 37p per Share and sell such number of Shares as shall cover the amount of the aggregate exercise price and his associated tax liability. Assuming a prevailing Share price of 78.5p, being the closing Share price on 12 July 2013, the funds required to cover the exercise price and taxes would equate to approximately £261,000 which would require the disposal of approximately 332,485 Shares*.

56,025 options with an exercise price of 71p per Share (provided they are below the then current market price) and sell such number of Shares as shall cover the amount of the aggregate exercise price and his associated tax liability. Assuming a prevailing share price of 78.5p, being the closing share price on 12 July 2013, the funds required to cover the exercise price and taxes would equate to approximately £274,000 which would require the disposal of approximately 349,045 Shares*.

1. The closing share price of 78.5p refers to the closing middle market price of a Plant Health Care share on 12 July 2013 as derived from the daily official list of the London Stock Exchange plc.

2. *An exchange rate of £/$1.5118 has been assumed which was derived from data provided on FT.com by WM/Reuters as at 4.00 p.m. London time on 12 July 2013 (being the last practicable dealing date prior to the date of this announcement).
