Appointments in Connection with Possible Move to the Official List

Phoenix has appointed BofA Merrill Lynch ("BofAML"), Jefferies International Limited ("Jefferies"), and Barclays Bank PLC ("Barclays") in connection with a potential application to obtain a premium listing on the Official List of the UK Listing Authority (the "move to the Official List"), as mentioned in the admission document published on 24 July 2017 (the "Admission Document"). The move to the Official List may involve the Company seeking to issue new ordinary shares in due course. It should be noted that no decision has been made to proceed with either a move to the Official List or any issuance of ordinary shares; any decision to proceed would be subject to, inter alia, satisfying eligibility criteria, obtaining any necessary approvals, and prevailing market and trading conditions at the time.

Stockdale Securities Limited ("Stockdale") remains as nominated adviser and joint broker and Panmure Gordon (UK) Limited ("Panmure") remains as joint broker to the Company, and both Stockdale and Panmure shall also provide assistance in regards to the potential move to the Official List.
