Proven Growth & Income VCT PLC03 March 2006 ProVen Growth & Income VCT plc (the 'Company')3 March 2006 Issue of Equity ProVen Growth & Income VCT plc announces that that on 3 March 2006, 4,672,357'C' Shares of 5 pence each were issued and allotted at a price of 100 pence pershare under the Offer for Subscription made by the Company dated 22 November2005. Application for the new shares to be admitted to the Official List of the UKListing Authority and to trading on the London Stock Exchange's market forlisted securities will be made at the earliest practical opportunity. Following this allotment, there are now 7,302,156 'C' Shares in issue. The Directors also announce that, included within the above, are the followingallotments to Directors of the Company: Andrew Davison, a Director, was allotted 5,150 'C' Shares in the Company at aprice of 100 pence per share.
