Premier Foods plc - Voting Rights and Capital
In accordance with DTR 5.6.1 of the FSA's Disclosure and Transparency Rules we would like to notify the market of the following:
Pursuant to the Placing and Open Offer and Firm Placing ("the Offer") announced by the Company on 5 March 2009 the Company has allotted 1,553,416,776 ordinary shares of 1p each ("Shares") in the Company, at an issue price of 26p each. The Shares were unconditionally allotted and admitted to trading today.
As a result, since 31 January 2009 Premier Foods plc has issued 1,553,416,776 additional ordinary shares with voting rights.
The figure of 2,398,021,581 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Premier Foods plc under the FSA's Disclosure and Transparency Rules.
