NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND OTHER PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

We wish to notify the following, in accordance with DTR 3.1.4(1) (a) of the Disclosure Rules and Transparency Rules.

On 23 March 2010 the Trustee of the Premier Foods plc Employee Benefit Trust granted to Mr Tim Kelly, Chief Operating Officer, Hovis and Chilled, 274,998 nil cost options under the Company's Deferred Bonus Plan. Under the Deferred Bonus Plan, Mr Kelly has deferred 100% of his gross annual bonus into shares. The options, over ordinary shares of 1p each in the Company, are to be satisfied by the transfer of existing shares and are exercisable between 23 March 2013 and 23 March 2020. The options are not subject to performance conditions. No other consideration was payable for the grant of the options.
