Notice of Annual General Meeting:

The Board of Princess Private Equity Holding Limited has today published notice of the Company's Annual General Meeting to be held at 09.30 am on 06 May 2020 at Tudor House, Le Bordage, St Peter Port, Guernsey GY1 6BD, Channel Islands.

A circular (the "Circular") has today been posted to shareholders which includes the Notice of Annual General Meeting (the "Notice"). The Circular and the Notice together with the Proxy Form and the Form of Instruction and Proxy can also be found on the Company's website at:

In accordance with Listing Rule 9.6.3, a copy of the Notice has been submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/uk/NSM.

Important information regarding the Annual General Meeting:

We are closely monitoring the impact of COVID-19 (coronavirus). It is currently the intention of the Company to hold the meeting as planned. However, the Board notes the guidance issued by the States of Guernsey, restricting social gatherings in view of the COVID-19 pandemic, and the fact that if such guidance remains in place on the date of the AGM, shareholders will be prohibited from attending the AGM. Given the current guidance and the general uncertainty on what additional and/or alternative measures may be put in place, the Board requests that shareholders do not attend the AGM in person but instead appoint the Chairman as proxy and provide voting instructions in advance of the AGM, in accordance with the instructions explained in the Notice of AGM.

If the Board believes that it has become necessary or appropriate to make alternative arrangements for the holding of the AGM due to COVID-19, we will ensure that shareholders are given as much notice as possible. Further information will then be made available through an announcement to the London Stock Exchange and through an upload to the Company's website, at https://www.princess-privateequity.net/
