In the original announcement the date of the announced details of proposals read 3 May 2011, however this has now been amended to correctly read 3 May 2013.

All other details remain unchanged.

Publication of Scheme Circular(including notices of Court Meeting and AGM) and Annual Report

On 3 May 2013, Petroceltic International announced details of the proposals to establish a new Irish-incorporated holding company of the Group, to be implemented by means of a scheme of arrangement ("Scheme") under Section 201 of the Irish Companies Act, and the introduction of the new holding company ("Petroceltic plc") to the Official Lists of the UK Listing Authority and Irish Stock Exchange and to trading on their respective Main Markets.

A circular setting out full details of the Scheme, together with notices of Court Meeting and Annual General Meeting, has been despatched to shareholders today (the "Scheme Circular"). A prospectus in relation to Petroceltic plc will be published shortly, at which time a further announcement will be made (the "Prospectus").

Both documents will be available on the Petroceltic International's website (www.petroceltic.com) from their respective publication dates and the Prospectus will be available for inspection from its publication date at Petroceltic plc'sregistered office and at the offices of Davy in Ireland at 49 Dawson Street, Dublin 2, Ireland and the offices of HSBC in the UK at 8 Canada Square, Canary Wharf, London, E14 5HQ, United Kingdom.

In addition, Petroceltic International's Annual Report and Accounts for the year ended 31 December 2012 have been uploaded onto its website.
