As at 1.00 p.m. on 11 September 2007, Harvard Bidco held, or had contracted toacquire, or had received valid acceptances of the Final Offer in respect of, anaggregate of 17,724,945 Premier Shares, representing approximately 97.4 percent. of the existing issued share capital of Premier. Harvard Bidco is now entitled, and intends, to use the provisions of theCompanies Act 2006 compulsorily to acquire all remaining Premier Shares. HarvardBidco also intends to re-register Premier as a private limited company in duecourse. The Final Offer will be kept open for acceptance until further notice. PremierShareholders who wish to accept the Final Offer, but have not yet done so, arestrongly encouraged (in the case of Premier Shares which are not held in CREST)to complete and return a Form of Acceptance or (in the case of Premier Sharesheld in uncertificated form (that is, held in CREST)) follow the instructionsset out in the Offer Document.
