Oxus Gold PLC ("Oxus Gold" or the "Company")

Grant of Warrants

Oxus Gold has granted warrants to the Company's nominated adviser and joint broker Fairfax I.S. PLC, and to its joint broker Fox Davies Capital Limited, as part of their remuneration. The warrants entitle each of them to subscribe for 2,500,000 ordinary shares at 15 pence per share. The warrants are exercisable from the date of grant for a period of five years and vest as follows:

625,000 on 5 February 2009

1,250,000 on 1 July 2009

625,000 on 1 January 2010
