At the Annual General Meeting and General Meeting of the Company, held earliertoday, all resolutions were duly passed.
Placing
The Placing (announced on 19 February 2013) of 55,000,000 new ordinary shares("Placing Shares") at a price of 0.5 pence per share has become unconditional.
Conversion
The Company has agreed with certain creditors, amounting to £35,066.67, toissue shares in the Company in lieu of liabilities owed to them. The Companyhas issued 7,013,334 ordinary shares at a price of 0.5 pence per share (the"Conversion Shares") in respect of these liabilities.
Application for admission of the Placing Shares and the Conversion Shares hasbeen made to the London Stock Exchange which is expected to occur on 15 March2013.
Subsequent to the share issues noted above, the Company's share capitalcomprises 125,387,295 ordinary shares of 0.1 pence each.
