Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them
The Company announces that on 11 April 2022, it made conditional awards over ordinary shares of £0.0001 each under the Oxford Nanopore Technologies plc Annual Long-Term Incentive Plan 2021 ("Annual LTIP")[1], to those Persons Discharging Managerial Responsibilities (each a "PDMR") outlined below.

The Annual LTIP awards are subject to the achievement of performance conditions over a three-year period and a subsequent two-year holding period. These awards are subject to stretching TSR performance conditions with 25% vesting at median rising to full vesting at upper quartile. TSR is measured, as to 50%, relative to a bespoke group of 18 international life sciences companies and, as to the other 50%, relative to the constituents of the FTSE350 (ignoring investment trusts). The Annual LTIP awards will accrue a dividend equivalent between the award date and the end of the holding period.
The number of shares over which the awards were granted was calculated based on a price of £3.82 per share. This is the average closing middle-market share price, as derived from the Daily Official List of the London Stock Exchange, for the five business days preceding the award date.
This announcement is made pursuant to the Company's obligations under Article 19 of the UK Market Abuse Regulation.
