Director/PDMR Share dealing
Ondo Insurtech (LSE: ONDO), a leading company in claims prevention technology for home insurers, announces that Charlene Hill, spouse of Chief Executive, Craig Foster, exercised warrants over 125,000 ordinary shares of 5 pence each in the capital of the Company ("Ordinary Shares") at an exercise price of 25 pence per warrant on 7 March 2025 ("New Ordinary Shares"). On the same day, Charlene Hill also sold 105,000 Ordinary shares (to cover taxes and exercise costs) at a price of 35.8 pence, having previously held 250,000 Ordinary Shares. Following the warrant exercise and share sale Charlene Hill is now interested in 270,000 Ordinary Shares, which represents approximately 0.21% of the issued share capital of the Company.
The New Ordinary Shares have been admitted to listing on the Equity Shares (Transition) category of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities under the Company's block listing.
Charlene Hill's interests in the Company were acquired through her participation in the fundraising undertaken by the Company in March 2022 in conjunction with its acquisition of the entire issued share capital of LeakBot Limited by way of a reverse takeover. At that time Charlene Hill was not a person closely associated ("PCA") with Craig Foster for UK MAR purposes. Following their marriage in August 2023, Charlene Hill has been a PCA with Craig Foster and accordingly, her interests should have been incorporated with and reflected when reporting the interests of Craig Foster, but this disclosure was not made in error.
Craig Foster's interests in the Company as at 1 August 2023 were as set out below:
