Responsibility Statement

We confirm, to the best of our knowledge, that

- the consolidated financial statements of OAO Gazprom prepared in accordance with International Financial Reporting Standards, give a true and fair view of the assets, liabilities, financial position and results of OAO Gazprom and its undertakings (the "Group") included in the consolidated financial statements taken as a whole; and

- the management report included in this 2011 Annual Financial Report presents a fair review of the development and performance of the business and the position of the Group included in the consolidated financial statements taken as a whole, together with a description of the principal risks and uncertainties the Group faces.
