Listing of Additional Level I American Depositary Shareson the regulated market of the London Stock Exchange
October 6, 2011 - JSC "GAZPROM" ("Gazprom") today had 2,236,594,545 additional Level I ADSs (which are currently in issue) admitted to the Official List of the UK Listing Authority and to trading on the regulated market of the London Stock Exchange. In addition, Gazprom was granted a block listing of a further 8,412,904,773 Level I ADSs which can be issued against the deposit of shares currently in issue into the Level I ADS facility.
Andrey Kruglov, CFO, stated: "The admission of additional Level I ADSs to trading on the London Stock Exchange confirms, once again, the high corporate governance standards followed by Gazprom and Gazprom's adherence to international best practices relating to disclosure."

American Depositary Shares ("ADSs") representing ordinary shares in Gazprom were issued in October 1996 as part of a private offering to non-United States investors under Regulation S of the U.S. Securities Act of 1933 (the "Securities Act") (the "Regulation S ADSs") and an offering to qualified institutional investors in the United States under Rule 144A of the Securities Act (the "Rule 144A ADSs"). The depositary with respect to the program was The Bank of New York Mellon.
In April 2006, Gazprom converted its Regulation S ADS deposit facility to a Level I ADS deposit facility by filing a registration statement (on Form F-6) in the United States and the Regulation S ADSs came to be referred to as the Level I ADSs (the "Level I ADSs"). Unlike Regulation S ADSs, Level I ADSs may be sold inside or outside the United States. Gazprom also announced that it simultaneously changed the number of its ordinary shares represented by one Level I ADS, from ten ordinary shares per one Level I ADS to four ordinary shares per one Level I ADS (each holder of one Level I ADS received an additional 1.5 Level I ADSs). In April 2011, the number of Gazprom's ordinary shares represented by one Level I ADS was changed to two ordinary shares per one Level I ADS (each holder of one Level I ADS received one additional Level I ADS).
Currently, the Level I ADSs are traded on the over-the-counter stock market in the United States, on the London Stock Exchange under the symbol OGZD and on other European exchanges such as the Berlin-Bremen Stock Exchange and the Frankfurt Stock Exchange.
