On-line plc (the "Company") Directors' shareholdings The Company announces that on 28 January 2005 Michael Hodges, Jonathan Mullinsand Clement Chambers, as part of the rearrangement of their personal pensionsand shareholdings, each sold the number of On-line ordinary shares detailed inthe table below to their own personal SIPPs. Following the transactions, each of Messrs Hodges, Mullins and Chambers remainsbeneficially interested in the same number of On-line ordinary shares as beforethe transactions, the total numbers of which are given below.
