Novae Group PLC05 December 2006 Novae Group plc Directors' Shareholdings and Employee Share Ownership Trust Following the vesting of certain awards made under the Group's 1999 Long TermIncentive Plan ("the Plan") on 18 November 2003, the Company was advised on 5December 2006 by Ogier Employee Benefit Trustee Limited ("the trustee"), astrustee of the Group's Employee Share Ownership Trust ("the trust"), that thefollowing directors acquired Ordinary shares of 10 pence each in the Company, asset out below, on 20 November 2006. On 5 December 2006 the trustee also notified the Company that there was a netreduction of 781,500 shares held in the trust following the vesting of theawards made on 18 November 2003 under the Plan and that, following thistransaction, the trustee holds a total of 4,725,896 shares, representing 0.65%of the Company's issued Ordinary share capital. The executive directors of theCompany, together with other employees, are potential beneficiaries under thetrust and are therefore treated as having an interest in such shares. Thisnotification is intended to satisfy the Company's obligations under Section 324of the Companies Act 1985 and Disclosure Rule 3.1.4.
