Convertible Bonds due 2008 issued by SVB Holdings PLC("the Bonds") In accordance with the terms of a bond trust deed dated 15 December 2003 thefollowing is extracted from a notice published in today's Financial Timesnewspaper: "Notice is hereby given to holders of Bonds that: (a) by a First Supplemental Trust Deed made on 9 May 2006 between SVB HoldingsPLC (1), Novae Group plc (2) and The Law Debenture Trust Corporation p.l.c. (3),a substitution was effected on and with effect from 18 May 2006 whereby NovaeGroup plc ("Novae") has been substituted in place of SVB Holdings PLC ("SVB") asthe Issuer and principal debtor under the Trust Deed dated 15 December 2003("the Original Trust Deed"), the Bonds and the Coupons; (b) in consequence of the said substitution, any Conversion Rights under theBonds shall henceforth be exercisable in respect of ordinary shares of 10 penceeach in the capital of Novae ("Ordinary Shares"); (c) pursuant to Condition 6(b) of the Conditions attaching to the Bonds and inconsequence of the rights issue announced by Novae on 28 March 2006 theConversion Price of the Bonds has been adjusted to 55.66 pence per OrdinaryShare with effect from 22 May 2006. Words and expressions defined in the Original Trust Deed shall have like meaningwhen used in this Notice."
