Issue of Equity

Nostra Terra (AIM:NTOG), the oil and gas exploration and production company with a portfolio of assets in the USA and Egypt, is pleased to announce that it has raised gross proceeds of £250,000 via the placing of 12,500,000 new ordinary shares of 0.1 pence each in the Company ("Ordinary Shares") at 2 pence per Ordinary Share (the "Placing Shares") (the "Placing"). The Placing Shares will rank pari passu in all respects with the Ordinary Shares.

The net proceeds of the Placing will allow the Company to continue to proactively seek out additional acquisition opportunities and will put the board in a stronger position of negotiation while it awaits the $2.1m proceeds from the sale of the Chisholm Trail asset, as announced on 29 June 2016 and 8 July 2016.

Smaller Company Capital Ltd, an appointed representative of Vicarage Capital Ltd, acted for Nostra Terra in the Placing, which is conditional upon receipt of funds and admission of the Placing Shares to trading on AIM. Vicarage Capital Ltd has been appointed as co-broker to the Company with immediate effect.

Admission to Trading and Total Voting Rights

Application will be made to the London Stock Exchange for admission of the Placing Shares to trading on AIM ("Admission") and it is expected that Admission will take place and that trading will commence on AIM on or around 28 July 2016.

Following Admission, the Company will have 94,706,954 Ordinary Shares in issue with each share carrying the right to one vote. The Company has no Ordinary Shares held in treasury. The total number of voting rights in the Company following Admission will therefore be 94,706,954. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
