("Nostra Terra" or the "Company")
Increase in Director Holdings
Further to the announcements of 29 June and 23 October 2012, Nostra Terra, the AIM quoted oil and gas producer with projects in the USA, announces that on 4 October 2013 Matt Lofgran, Chief Executive Officer, received from YA Global Master SPV Ltd ("YA Global") 83,956,296 ordinary shares of 0.1p each in the Company ("Ordinary Shares"). On 23 October Mr Lofgran loaned 155,000,000 Ordinary Shares to YA Global ("Loaned Shares"). Following the full repayment of the secured loan note between YA Global and Mr Lofgran, YA Global no longer has a fixed charge over any shares in the Company and no longer holds any Loaned Shares.
The aggregated draw down facility under the standby equity distribution agreement between YA Global and the Company has also been closed concurrent with the return of the Loaned Shares.
Mr Lofgran also, on 4 October 2013, gifted 1,000,000 Ordinary Shares to Mr Stephen Coles and 6,000,000 Ordinary Shares to Mr Jeffrey Lofgran.
Following the above transfers of shares, Matt Lofgran has an interest in 218,798,802 Ordinary Shares in the capital of the Company, representing 7.88% of the Company's issued share capital.
