share-based incentive plan: The trades relate to an offer of Naspers N ordinary share options made and accepted on 19 September 2011 in the MIH Services FZ LLC Share Trust (the Trust). The options vested in three tranches. The first tranche, 7 081 share options, vested on 19 September 2014, the second tranche, 7 081 share options vested on 19 September 2015 and the final tranche, 7 082 share options, vested on 19 September 2016.
An offer of Naspers N ordinary share options made and accepted on 2 July 2012 in the MIH Services FZ LLC Share Trust (the Trust). The options vested in three tranches of which two tranches were exercised. The first tranche, 11 123 share options, vested on 2 July 2015 and the second tranche, 11 123 share options vested on 2 July 2016.
On 1 August 2018 a total of 11 007 Naspers N ordinary shares were sold by Mr Sgourdos and 32 483 Naspers N ordinary shares will be delivered to Mr Sgourdos upon payment of the amount of R17 061 494.12 (being the listed market value on the date of the offer) from the proceeds of the sale of the 11 007 Naspers N ordinary shares (distributed to Mr Sgourdos), to settle the amount due to the MIH Services FZ LLC Share Trust.
Nature of transaction: Sale of 11 007 vested Naspers N ordinary shares from MIH Services FZ LLC Share Trust and delivery of 32 483 vested Naspers N ordinary shares held in the MIH Services FZ LLC Share Trust by Mr Sgourdos.
