Next Fifteen Communications Group plc announces that application has been made to the London Stock Exchange for 1,130,114 new ordinary shares of 2.5 pence each in the Company (‘Ordinary Shares’) to be admitted to AIM.
An application was made in respect of:
17,218 Ordinary Shares expected to be issued as part of the deferred consideration payable under the terms of the acquisition by Next 15 of the entire issued share capital of Brandwidth Group Limited, having been announced on 7 February 2018; and
1,112,896 Ordinary Shares expected to be issued as consideration for the acquisition by the Company of certain growth shares from management in connection with the Savanta Group Limited (formerly MIG Global Limited) 'growth share' management equity incentive plan noted in the Company's financial statements for the period ending 31 January 2020.
These new Ordinary Shares will, upon issue, rank pari passu with the existing ordinary share capital of the Company. It is expected that admission will become effective by 2 June 2020.
Following the issue and allotment of these new Ordinary Shares as described above, the Company will have 89,619,501 Ordinary Shares in issue. No shares are held in treasury.
