Results of EGM: Board Elected, Interim Dividend and Record Date Approved

PJSC NCSP (LSE: NSCP; MICEX: NMTP) hereby reports the resolutions of the annual general meeting of shareholders, dated 2 September 2016.

1. To terminate the powers of the Board of Directors elected at the general meeting dated 24 June 2016.

2. To elect the following members of the Board of Directors (supervisory board):

2.1. Sergey Andronov, Vice President of Transneft;

2.2. Maksim Grishanin, First Vice President of Transneft;

2.3. Vladimir Kayashev, President of Summa Group;

2.4. Alexander Potapushin, Member of the Board at Novorossiysk Grain Plant;

2.5. Evgeniy Stolyarov;

2.6. Rashid Sharipov, Vice President of Transneft.

PJSC NCSP Board has seven seats. Six directors are elected. The Government of Russia appoints the seventh director by the golden share rule. Igor Levitin, Aide to the President of tRussia holds this seat.

3. To approve this recommendation to EGM on payment of interim dividend for the six months of 2016:

3.1. Pay interim dividend for the six months of 2016 in the amount of 8,994,333,792 rubles in cash;

3.2. Determine the dividend per share as 0.467 rubles;

3.3. Set the record date for shareholders eligible to receive the dividend as 14 September, 2016;

3.4. Pay dividend to nominee holders from September 28 to 29, 2016, and to other registered shareholders from September 27, 2016 to October 18, 2016.

4. To approve changes and additions to the charter of PJSC NCSP.
