Result of Annual General Meeting ("AGM")

As announced earlier today, all of the resolutions proposed at our AGM today were passed on a poll. In accordance with our obligations under the UK Corporate Governance Code ("Code"), we acknowledge that we received c25% of votes against the resolution to approve our Directors' Remuneration Report for the year ended 31 December 2022.

We consulted extensively with shareholders on both our new Remuneration Policy (which was approved by more than 88% of our shareholders at this morning's AGM) and the implementation of our existing policy, well in advance of the resolutions being proposed.

Regular and early engagement with shareholders on governance matters is important to the Board and we will continue to consult with them on remuneration matters to ensure we understand and reflect their views and clearly explain the reasons for the decisions we have made.

In accordance with our obligations under the Code, we will publish a further update on the views received from ongoing interaction with shareholders and the actions we have taken within six months of today's AGM.
