Issue of Equity
The Company announces that on 8 January 2020 it allotted and issued 19,480,843 new Ordinary Shares of 1p each ("Shares"). These new Shares in the Company have been issued pursuant to the Offer for subscription with The Income & Growth VCT plc, Mobeus Income & Growth 2 VCT plc and Mobeus Income & Growth 4 VCT plc, launched on 25 October 2019, to raise up to £58 million in aggregate, which includes the utilisation of a £20 million over-allotment facility ("the Offer").
In accordance with the allotment formula set out in the prospectus for the Offer, the Shares were issued at prices of between 62.96 and 67.72 pence per Share, depending on the adviser charge (if applicable) and the number of shares issued (after taking roundings into account) pertaining to each application.
Application has been made for the new Ordinary Shares to be admitted to the Official List of the UK Listing Authority and dealings are expected to commence on or around 14 January 2020.
Following this allotment, the issued share capital and total voting rights of the Company is 124,007,350 Ordinary Shares of 1p each.
Clive Boothman, the Chairman of the Company, was allotted 31,766 Ordinary Shares at a price per share of 62.96 pence and his total holdings are now 113,749, representing approximately 0.09% of the Company's issued Ordinary share capital.
Bridget Guérin, a director of the Company, and persons closely associated with her, were allotted in aggregate, 23,824 Ordinary Shares at a price per share of 62.96 pence and her total holdings are now 228,587, representing approximately 0.18% of the Company's issued Ordinary share capital.
Catherine Wall, a director of the Company, was allotted 31,766 Ordinary Shares at a price per share of 62.96 pence and her total holdings are now 85,152, representing approximately 0.07% of the Company's issued Ordinary share capital.
