This was a busy period for the Company as it continued to strengthen itsproposition for large Tier 1 customers while developing its Over The Top("OTT") service offering. Operational Highlights * On track for full year performance to be in line with market expectations. * Inaugural Tier 1 contract win in May 2014 for the iris/inspire product. * Tier 1 contract represents a minimum of US$15 million in subscriber-based licence fees over a 3 to 5 year period. * Project delivered to Tier 1 customer and commercial launch on course. * First major OTT contract win announced on 18th September 2014. * OTT product development ahead of schedule with commercial launch expected early in the new financial year. Some revenueelements from the Tier 1 contract, which implied incurred costs in the firsthalf of the year will be recorded in the second half. During this period the Company further strengthened itspresence in the Latin American market while proving its ability to servicelarge Tier 1 customers as it secured the first Tier 1 reference of its OTToffering. Our contract win announced on 19 May 2014 was a significant milestone for theCompany reflecting our strategic shift to a scalable subscriber-based licencefee model. This contract alone represents a minimum of US$15 million insubscriber-based licence fees, which will be received during a 3-5 year periodfollowing commercial deployment. This is expected to take place before the endof this calendar year. This contract provided a springboard for the Company to showcase its OTToffering with the Company signing a separate contract to provide the existingTier 1 customer with a TV Everywhere platform. As a result, the customer will benefit from live and on demand contentdistribution, catch-up and start-over capabilities, remote control of the settop box from any of the multi-screen devices, session transfer or multiroomfunction. Management expects that the customer will achieve similar levels ofacceptance of the service as other comparable products in the market. Thisbeing the case, it is expected that the contract could generate revenue inexcess of US$5 million during the three years following the commercialroll-out, which is planned to start at the beginning of the new financial year. Technical resourcing has been completed as planned, and the product developmentprogress is ahead of schedule, allowing the Company to showcase thefully-integrated suite to other relevant customers across the globe.OTT-enabled devices have just reached the 1 billion mark, and nearly 80% of allIP traffic will be IP video by 2018, according to latest market research. More than 50% of Sky subscribers now connect their Sky+ HD box to the internetto access on-demand content, proving that the OTT growth is ahead ofexpectations. With the new functionalities added to our iris platform, miradais in an excellent position to meet customer needs. Having now deployed itstechnology for our first Tier 1 customer, and following today's announcement ofthe commercial launch of Movistar Go with Telefónica Peru using our OTTtechnology, we have two excellent reference points for other customersworldwide. Financial Overview Turnover was £2.19 million (H1 2013: £2.30 million) due to the fact thatcertain backoffice licence revenues related to the deployment of inspire withour Tier 1 Customer will be recognised in the second half of the year. This wasdue to IFRS policy, which states they can only be recognized following thecommercial launch. Overall, the company expects that total revenue for the yearwill be in line with market expectations. Loans and borrowings decreased to £2.26 million (March 2014: £2.63 million) dueto regular debt repayment. In order to speed-up the product development and tofacilitate further growth in the OTT market the Company successfully raised £3.5 million via a placing at 12.5p during the period. The placing also allowedthe Company to reduce its Non-Current Liabilities to £1.80 million (March 2014:£2.04 million), leaving cash and cash equivalents at £1.21 million for theperiod. As such the Company is in an excellent position to focus onstrengthening its OTT offering and taking advantage of growing global demand. Overseas activities remained strong at 61% of the total revenues (H1 2013:68%), which is in line with expectations according to the increased revenue tobe reflected in the second half of the year. It is worth noting that therevenues in Spain were up 67% from the previous period, mostly due to aperceived increase of Digital TV investments in the country. Appointments During the period we were pleased to welcome José Gozalbo (CTO) as an ExecutiveDirector and Matthew Earl as a Non-Executive Director. The addition of two suchhighly experienced individuals to our Board further strengthens our ability togrow our relationships with big telecoms suppliers and our corporategovernance, which will be invaluable as we expand our customer proposition anddevelop our business. Outlook The Company remains on track for full year performance to be in line withmarket expectations with around 96% visibility of full year consensus revenues. In addition, the Company is in conversation with a number of potentialcustomers regarding the provision of its products and expertise. On the back ofthe Company's strengthened relationship with Digital TV partners in the market,new opportunities have arisen both in Latin America and in other Countries,widening our area of commercial activity faster than expected. We are hopefulof adding further Tier 1 references to our customers list in the near future. Basis of Preparation These interim financial statements have been prepared using policies based onInternational Financial Reporting Standards (IFRS and IFRIC Interpretations)issued by the International Accounting Standards Board ("IASB") as adopted foruse in the EU. They do not include all disclosures that would otherwise berequired in a complete set of financial statements and should be read inconjunction with the 31 March 2013 Annual Report. The financial information forthe half years ended 30 September 2014 and 30 September 2013 do not constitutestatutory accounts within the meaning of Section 434 (3) of the Companies Act2006 and both periods are unaudited. The annual financial statements of Mirada plc are prepared in accordance withIFRS as adopted by the European Union. The comparative financial informationfor the year ended 31 March 2014 included within this report does notconstitute the full statutory Annual Report for that period. The statutoryAnnual Report and Financial Statements for the year to 31 March 2014 have beenfiled with the Registrar of Companies. The independent Auditors' Report on thatAnnual Report and Financial Statement for 2014 was unqualified, did not drawattention to any matters by way of emphasis, and did not contain a statementunder 498 (2) or 498 (3) of the Companies Act 2006. After making enquiries, the directors have concluded that the Group haveadequate resources to continue operational existence for the foreseeablefuture. Accordingly, they continue to adopt the going concern basis inpreparing the half-yearly consolidated financial statements. The same accounting policies, presentation and methods of computation arefollowed in these interim consolidated financial statements as were applied inthe Group's latest annual audited financial statements. In addition, the IASBhave issued a number of IFRS and IFRIC amendments or interpretations since thelast Annual Report was published. It is not expected that any of these willhave a material impact on the Group. The Board of Directors approved thisinterim report on 27 November 2014. 2. Segmental reporting For management purposes the Group is currently organised into two operatingdivisions based upon the varying products and services provided by the Group-Digital TV & Broadcast and Mobile (which includes Interactive Marketing andMirada Connect). The segment headed other relates to corporate overheads.
