("MindGym" or the "Company")
Grant of SAYE options
MindGym, the global provider of human capital and business improvement solutions, is pleased to announce that it has launched the sixth year of a Save As You Earn Scheme (the "SAYE Scheme") for all eligible employees in the UK and Singapore.
Eligible employees were invited to subscribe for options ("Options") over the Company's Ordinary Shares of
0.001 pence each ("Ordinary Shares") which have been granted at an exercise price of 26.07 pence per Ordinary Share in accordance with the terms of the SAYE Scheme. As set out in the scheme rules, the exercise price is determined by the average closing price of an Ordinary Share across 17, 18 and 19 June 2024, the three dealing days before the invitation was made, discounted at 15%. The Options were granted on 15 July 2024 and have a contract start date of 1 August 2024 and are exercisable from 1 August 2027.
A total of 29 out of 175 eligible employees have elected to participate in the SAYE Scheme and a total of 1,106,437 Options have been granted in the 2024 scheme, representing 1.1% of the issued share capital.
The following Persons Discharging Managerial Responsibilities ("PDMRs") have chosen to participate in the 2024 SAYE Scheme:

The Company has also implemented an Employee Stock Purchase Plan ("ESPP Scheme") for US employees over the Ordinary shares, which have been granted at an exercise price of 25.5 pence per Ordinary Share. As set out in the scheme rules, the exercise price is determined by the closing price of an Ordinary Share at the grant date discounted at 15%. The Options were granted on 15 July 2024 and have a contract start date of 1 August 2024 and are exercisable from 31 July 2025. The shares purchased on exercise are then subject to a 12-month holding period. A total of 10 out of 86 eligible employees have enrolled in the in the Plan and a total of 73,261 Options have been granted, representing 0.07% of the issued share capital.
