Maven Income and Growth VCT 3 PLC

Offer for Subscription

The Board of Maven Income and Growth VCT 3 PLC (the Company) is pleased to announce that, up to and including 31 January 2014, being the latest date to which applications will be entitled to have the Early Investment Incentive applied, the Company has received valid applications to the value of £2.74 million pursuant to its Offer for Subscription (the Offer), which opened on 24 October 2013.

The Board confirms that all valid applications in respect of the 2013/14 tax year, representing the sum of £2.41 million, have been accepted in full and, pursuant to the Offer, the Company issued and allotted 2,872,393 Ordinary Shares of 10 pence each on 3 February 2014. The Offer Price at which the shares were issued and allotted was 83.89p per Ordinary Share and, as a result, the number of Ordinary Shares now in issue is 35,208,857.

It is intended that a further allotment in respect of the 2013/14 tax year will take place on or before 5 April 2014, with an allotment in respect of the 2014/15 tax year expected to take place by no later than 30 April 2014.

Dealings in such Ordinary Shares are expected to commence as soon as practicable after each of the respective allotment dates.
