Change in Management

Dear Shareholders,

MHP S.A. ("MHP" or the "Company", LSE ticker: "MHPC") announces today that the Board of Directors at its 16 December 2014 meeting invited Mr Yuriy Kosyuk to rejoin the Board and re-appointed him to the position of Chief Executive Officer (CEO) of MHP.

At the same time Mr Yuriy Melnyk, who was appointed CEO of MHP on 3 July 2014 when Mr Kosyuk was invited to become the First Deputy Head of the Presidential Administration, resigned from the position of CEO and was appointed by the Board to the position of Chief Operating Officer (COO) of MHP.

The Chairman of the Board, Charles Adriaenssen commented:

During testing times for the Company, Yuriy Melnyk's has done a brilliant job as an interim CEO and his appointment as the new COO of our Company is well deserved.
