Manx Financial Group PLC (the 'Company')

Directors' Shareholdings and Notifiable Interests

The Company announces the following dealings by Directors as part of the Open Offer that closed on 18 June 2010 (the 'Open Offer'). Set out are also the respective holdings, following the Open Offer, of the Director's and other notifiable holdings as follows:

Jim Mellon

Jim Mellon and a party connected to him subscribed for a total of 4,208,332 Ordinary Shares at 9p per Ordinary Share under the Open Offer.

As a result, the revised holdings are as follows:

Pershing Nominees Limited holds, on trust for Mr Jim Mellon, 166,666 Ordinary Shares representing 0.2% of the issued ordinary share capital of the Company.

Burnbrae Limited, a company which is indirectly wholly owned by the trustee of a settlement under which Jim Mellon has a life interest, holds 16,000,000 Ordinary Shares representing 18.92% of the ordinary share capital of the Company. Mr Mellon also holds 666,000 Ordinary Shares representing 0.79% of the ordinary share capital of the Company in his own name.

The total Ordinary Shares in which Mr Jim Mellon has a direct and indirect beneficial interest is 16,833,332 representing 19.91% of the issued ordinary share capital of the Company.

Arron Banks

Arron Banks subscribed for a total of 4,167,680 Ordinary Shares at 9p per Ordinary Share under the Open Offer.

As a result, his revised holding is as follows:

Rene Nominees (IOM) Ltd on trust for Mr Banks holds 383,333 (350,000 held on behalf of his SIPP and 33,333 directly) representing 0.45% of the ordinary share capital of the Company.

Mr Banks is also beneficially interested in 51% of the issued share capital of Rock Holdings Ltd. The total Ordinary Shares held in the Company by STM Fidecs Nominees Ltd on trust for Rock Holdings Ltd is 7,038,193 representing 8.32% per cent. of the issued ordinary share capital of the Company.

In addition, Mr Banks is beneficially interested in 37.5% t. of the issued share capital of Southern Rock Insurance Company Ltd. STM Fidecs Nominees Ltd holds 3,481,333 Ordinary Shares in the Company on trust for Southern Rock Insurance Company Ltd representing 4.12%. of the issued ordinary share capital of the Company. Rene Nominees (IOM) Ltd holds on trust 2,269,466 Ordinary Shares in the Company for Southern Rock Insurance Company Ltd representing 2.68% of the ordinary share capital of the Company.

The total Ordinary Shares in which Mr Banks has a beneficial interest in is 13,172,325 representing 15.58% of the issued ordinary share capital of the Company.

Alan Clarke

Alan Clarke subscribed for a total of 13,037 Ordinary Shares at 9p per Ordinary Share under the Open Offer.

As a result, his revised holding is as follows:

Mr Clarke holds 52,149 Ordinary Shares in his own name representing 0.06% of the issued ordinary share capital of the Company.

Don McCrickard

Don McCrickard subscribed for a total of 16,666 Ordinary Shares at 9p per Ordinary Share under the Open Offer.

As a result, his revised holding is as follows:

Hargreaves Lansdown Nominees, on trust for Mr Donald McCrickard, holds 66,666 Ordinary Shares representing 0.08% of the issued ordinary share capital of the Company.

David Gibson

David Gibson subscribed for a total of 108,853 Ordinary Shares at 9p per Ordinary Share under the Open Offer.

As a result, his revised holding is as follows:

TD Waterhouse Nominees on trust for Mr David Gibson holds 178,853 Ordinary Shares representing 0.21% of the issued ordinary share capital of the Company.

Simon Hull

Simon Hull subscribed for a total of 144,443 Ordinary Shares at 9p per Ordinary Share under the Open Offer.

As a result, his revised holding is as follows:

Barclays Nominees Ltd, holds 18,599 Ordinary Shares on trust for Mr Simon Hull and Mrs Christine Hull representing 0.02% of the issued ordinary share capital of the Company. 

In addition Rene Nominees (IOM) Limited on behalf of The Silverlight Self Invested Personal Pension Scheme holds 390,588 Ordinary Shares representing 0.46% of the Ordinary Share Capital of the Company. The Silverlight Self Invested Personal Pension Scheme is an irrevocable trust of which Mr Simon Hull, Director of the Company, is a member and beneficiary.

The total Ordinary Shares in which Mr Hull has a beneficial interest in is 409,187 representing 0.48% of the issued ordinary share capital of the Company. 

Douglas Grant

Douglas Grant subscribed for a total of 366,666 Ordinary Shares at 9p per Ordinary Share under the Open Offer.

As a result, his revised holding is as follows:

Mr Grant holds 466,666 Ordinary Shares in his own name representing 0.55% of the issued ordinary share capital of the Company.
