Conister Financial Group plc (the 'Company')

Directors and Employees Share Dealing 

The Company was informed on 5 June 2008 that :

1. STM Fidecs Nominees Limited, on trust for Rock Holdings Limited, purchased 25,000 ordinary shares of 25p each in the Company (the "Ordinary Shares") at 74p per share on 5 June 2008.

Following this transaction the total Ordinary Shares held by STM Fidecs Nominees Limited on trust for Rock Holdings Limited is now 7,238,645 representing 14.27 per cent. of the issued ordinary share capital of the Company. Mr Arron F A Banks, Chief Executive Officer and Director of the Company, is beneficially interested in 51 per cent. of the issued share capital of Rock Holdings Limited.

Mr Arron F A Banks is also beneficially interested in 37.5 per cent. of the issued share capital of Southern Rock Insurance Company Limited which holds 215,000 Ordinary Shares in its own name, with an additional 396,000 Ordinary Shares held by STM Fidecs Nominees Limited on trust for Southern Rock Insurance Company Limited. The aggregate of these holdings 611,000 Ordinary Shares represents 1.20 per cent. of the issued ordinary share capital of the Company.

The total Ordinary Shares in which Mr Arron F A Banks has a beneficial interest in is 7,849,645 representing 15.48 per cent. of the issued ordinary share capital of the Company.

2. Mr Chris Johnstone, Interim Finance Director (a non-board appointment), purchased 10,000 ordinary shares of 25p each (the "Ordinary Shares") at 73p per share on 5 June 2008. The total Ordinary Shares which Mr Chris Johnstone holds is 70,000 representing 0.14 per cent. of the issued ordinary share capital of the Company. 

Note: in the announcement of 5 June 2008, the shareholding for Mr Arron F A Banks was given as 7,774,645 rather than the correct figure of 7,824,645 and the year in which Mr Chris Johnstone purchased his shares was given as 2009 rather than the correct date of 2008.
