Merlin Entertainments plc announces the upsizing and pricing of its €500 million senior notes due 2022
Merlin Entertainments plc ("Merlin" or the "Company"), today announces that it has priced its offering (the "Offering") of €500 million aggregate principal amount of senior notes due 2022 (the "Notes"). The Notes will bear interest at an annual rate of 2.75% and they will be issued at 100% of their nominal value. The Notes are expected to be issued on March 19, 2015. The Offering was upsized from the previously announced €480 million aggregate principal amount.
There will be no public offering of the Notes. The Notes will be offered and sold only to qualified institutional buyers in accordance with Rule 144A under the U.S. Securities Act of 1933, as amended (the "U.S. Securities Act"), and to non-U.S. persons outside the United States in accordance with Regulation S under the U.S. Securities Act.
