Announcement of Offer for Subscription

The Directors of the Company are pleased to announce the launch of an Offer of new Ordinary shares and new S Ordinary shares to raise up to £1.25 million ("the Offer"). The new Ordinary shares are being offered at 102.12p and the new S Ordinary shares are being offered at 107.41p (these being the most recently published net asset values of the existing shares, adjusted for the costs of the Offer). The Offer will close on 5 April 2012 in respect of the 2011/12 tax year, and on 27 April 2012 in respect of the 2012/13 tax year (unless fully subscribed by an earlier date).

Details of the Offer are set out in an Offers Document which also contains details of parallel offers of shares by Maven Income and Growth VCT PLC, Maven Income and Growth VCT 2 PLC and Maven Income and Growth VCT 3 PLC. Applicants should note that acceptance of applications under the Offer is subject to their applying for an equal amount in each of the parallel offers by Maven Income and Growth VCT PLC, Maven Income and Growth VCT 2 PLC and Maven Income and Growth VCT 3 PLC as set out in Offers Document.

A copy of the Offers Document will be submitted to the National Storage Mechanism and will shortly be available for inspection at: www.Hemscott.com/nsm.do.
