Marston's PLC04 September 2007 Eldridge, Pope & Co., Limited Announces Acceptance of Offer, Result of Meetingand Redemption of its outstanding: 1) £15m 7.625 per cent. Debenture Stock 2022 (ISIN: GB0001334233) (the "Debenture Stock"); and 2) £150,000 7.50 per cent. Irredeemable Unsecured Loan Stock (ISIN:GB0003080057) (the "Loan Stock"). NOT FOR DISTRIBUTION TO ANY PERSON RESIDENT OR LOCATED IN THE UNITED STATES ORITALY This announcement is made in connection with the Offer and the Proposal (both asdefined in the Debenture Stock Tender Offer Memorandum dated 10 August 2007 andthe Loan Stock Tender Offer Memorandum dated 13 August 2007 (the "Tender OfferMemoranda")). Eldridge, Pope & Co., Limited (a subsidiary of Marston's plc) (the "Company")hereby announces that all of the outstanding Debenture Stock and the Loan Stockvalidly tendered in the Offer will be accepted for repurchase by the Company.The Company also announces that the Extraordinary Resolutions detailed in thenotice of meeting in respect of the Debenture Stock and the Loan Stock (the"Notices") were duly passed by the requisite majority of Stockholders at themeetings of Stockholders convened by the Notices held at 10.00am in respect ofthe Debenture Stock and 10.30am in respect of the Loan Stock (London time)today. The trust deeds in respect of the Debenture Stock and Loan Stock (the "Trust Deeds") have also been amended accordingly. NOTICE IS HEREBY GIVEN THAT, following the passing of the ExtraordinaryResolutions and amendment of the Trust Deeds, and pursuant to the amended termsand conditions of the Debenture Stock and the Loan Stock, the Company exercisesits rights to call immediately that all outstanding Debenture Stock and LoanStock will be redeemed on Friday, 7 September 2007 (the "Settlement Date") atthe relevant redemption amounts together with Accrued Interest. In addition,payment of any Voting Only Early Submission Amount, as applicable, will besettled on the Settlement Date on the terms set out in the Tender OfferMemoranda.
