Maintel Holdings Plc ("Maintel" or "the Company")

Directors' shareholdings

On 30 April 2010 and 4 May 2010 the Maintel Holdings Plc Share Incentive Plan (an all employee share purchase plan approved by Her Majesty's Revenue and Customs) acquired an aggregate 5,447 Ordinary Shares of 1p each ("Ordinary Shares") in the capital of the Company, representing 0.05 per cent of Maintel's issued share capital, at a price of 162p per share. As a result of this purchase, E Buxton, N J Taylor and W D Todd, all being directors of Maintel as well as trustees of the Share Incentive Plan, are deemed to have increased their notifiable interest in the Company.

The share purchases included the acquisition of 926 Ordinary Shares for the beneficial interests of each of the directors J D S Booth, E Buxton, A J McCaffery, N J Taylor and W D Todd respectively, all held by the trustees of the Share Incentive Plan.

Following the purchases, the Directors' interests in the Company are as follows:

For the purposes of the Financial Services Authority's Disclosure and Transparency Rules, the total number of ordinary shares of 1p of the Company in issue as at the date of this notice is 10,766,800, with each share carrying the right to one vote.

There are no shares held in treasury.

The total number of voting rights in the Company is therefore 10,766,800. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the Disclosure and Transparency Rules.
