Board Addition and Management Changes

George Town, Cayman Islands - 10 February 2021 - Mineral and Financial Investments Limited (LSE-AIM: MAFL) ("M&FI", "MAFL" or the "Company") is very pleased to announce the addition of Mark T. Brown, B. Comm. CPA, CA, as an independent member of the Board of Directors. Mr. Brown will assume the role of Chairman. Jacques Vaillancourt will assume the role of President, Chief Executive Officer and director of the Company.

Jacques Vaillancourt noted that "Mr. Brown's financial and mining experience, as well as his active roles as a senior director of numerous public companies, make him a great fit for the M&FI Board and we look forward to working with him. Moreover, his addition as an independent director will further strengthen the Board's independence in governance."

Mr. Brown is the President of Pacific Opportunity Capital Ltd., headquartered in Vancouver B.C. Pacific Opportunity is a merchant banking and financial consulting firm, active in venture capital markets in North America. Mr. Brown is Executive-Chairman of Alianza Minerals Ltd., and Avrupa Minerals Ltd. Mr. Brown is also a non-executive director on the boards of Mich Resources Ltd., East West Petroleum Ltd., Mountain Boy Minerals Ltd., Au Gold Corp., Azucar Minerals Ltd., Almaden Minerals Ltd. and Almadex Minerals Ltd. Additionally, Mr. Brown is Chief Financial Officer of Gold Terra Resources Corp., Orestone Mining Corp. and Adamera Minerals Corp. Mr. Brown has assisted in the successful establishment of several private and public companies. In the mining and mineral exploration sector, Mr. Brown has played key roles in the success of Rare Element Resources Ltd., Pitchstone Exploration Ltd., Animas Resources Ltd., and other private companies. His corporate activities include merger and acquisition transactions, financing, strategic corporate planning, and corporate development. Prior to joining Pacific Opportunity, Mr. Brown was a senior financial officer of two TSE 300 companies, Miramar Mining Corp. and Eldorado Gold Ltd. Mr. Brown is also a governor of Vancouver College and the Little Flower Academy. Mr. Brown has a Bachelor of Commerce from the University of British Columbia and qualified as a Chartered Accountant in 1993, while working with PriceWaterhouseCoopers in Vancouver.

The following details in relation to the appointment of Mr. Brown, aged 52, are disclosed in accordance with Schedule 2(g) of the AIM Rules:

Mr. Brown was an independent director of Ascent Industries Corp ("Ascent") (now named Luff Enterprises Ltd) and resigned in March 2019. Subsequently, in April 2019, Ascent was placed into creditor protection by the company's creditors pursuant to the Government of Canada's Companies' Creditor Arrangement Act due to unpaid bills. All creditors were paid in full; all creditor protections were removed, and Luff Enterprises is still active today.

Mr. Brown currently holds no ordinary shares in the Company and no options over ordinary shares in the Company.

There are no other disclosures required pursuant to Schedule 2(g) of the AIM Rules.
