This notification is made in accordance with DTR 3.1.4(1)(a).
On 8 May 2015, the following awards over ordinary shares in the Company were made under the Macfarlane Group PLC Long Term Incentive Plan (the "Plan") to Directors of the Company.

No consideration was paid for the grant of the award, which is structured as a nominal cost option (with £1 payable in aggregate).
The vesting of an award is subject to continued employment of the participant and the satisfaction of performance conditions set by the Remuneration Committee of the Company. The award will normally vest on the later of the third anniversary of grant and the determination of the performance conditions.
The Company was informed of the above transactions on 8 May 2015.
