Rule 12 Disclosure

Pursuant to the cash offer by Fragliolig Limited on 14 April 2010 for all shares of Atlas Estates Limited, the Board of Livermore announces that it has decided to accept the offer for all of the 10,170,372 shares it holds in Atlas Estates Limited. The Company expects to receive GBP 9.15m in cash from the sale. The offer closes on 21 June 2010 and settlement is expected in July 2010.
